These Terms & Conditions govern your use of SideKickCo, an AI receptionist service operated by Launch Mode Ltd ("we", "us", "our"), a company registered in England and Wales [TO CONFIRM: company registration number] with its registered office in Bristol, United Kingdom [TO CONFIRM: full registered address].

By signing up for or using SideKickCo (the "Service"), you ("you", "the customer") agree to these Terms. If you are entering into these Terms on behalf of a business, you confirm you have authority to bind that business.

1. The Service

SideKickCo provides an AI-powered telephone receptionist that answers calls to a number we assign or forward, qualifies callers, captures lead details, and—where enabled—books appointments into your calendar and notifies you.

The Service is configured during an onboarding period (typically 3–5 working days) using the information you provide. The quality of call handling depends on the accuracy and completeness of that information.

2. Eligibility & accounts

You must be at least 18 and operating a business or trade in the United Kingdom. You are responsible for keeping your account credentials secure and for all activity under your account.

You must provide accurate account and business information and keep it up to date.

3. Plans, pricing & billing

The Service is offered on the Pro, Pro+ and Power plans, billed monthly or annually in advance in GBP. Current prices and monthly minute allowances are shown on our pricing page and exclude VAT, which is added where applicable.

Monthly plans include a one-time setup fee of £200, which is waived on annual plans. Subscriptions renew automatically at the end of each billing period unless cancelled.

Payments are processed by Stripe. By subscribing you authorise us (via Stripe) to charge your payment method for the applicable fees.

4. Cancellation & refunds

You may cancel at any time from your dashboard. Cancellation takes effect at the end of your current billing period; your Sidekick remains active until then, and we do not pro-rate or refund the remainder of a paid period unless required by law.

5. Acceptable use

You must not use the Service for unlawful, fraudulent, or abusive purposes, to harass callers, or in breach of telecoms or marketing regulations. You are responsible for ensuring your use of call recording and any outbound contact complies with applicable law.

6. Your data & call recording

Calls handled by your Sidekick may be recorded and transcribed to provide and improve the Service. You are responsible for any notice or consent required from callers under applicable law; our standard greeting informs callers that the call is recorded.

Our handling of personal data is described in our Privacy Policy. You retain ownership of your business data; you grant us a licence to process it to provide the Service.

7. Service availability

We aim to provide a reliable Service but do not guarantee uninterrupted availability. The Service depends on third-party providers (telephony, AI, hosting) and your own call-forwarding setup.

8. Third-party services

The Service relies on third-party providers including Vapi (voice AI), Twilio (telephony), Supabase (data), Stripe (payments), Resend (email), Google (calendar) and Vercel (hosting). Your use may also be subject to their terms.

9. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.

Subject to the above, we are not liable for missed calls, lost leads, or business losses arising from Service interruptions, mis-routing, or AI error, and our total liability in any 12-month period is limited to the fees you paid in that period. 10. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app. Continued use after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
